We are here to announce THE VOTING RESULTS!



As you know, we have been working on a full revision of our 2022 Bylaws
(previously known as The Articles of Association) for the last nine months.
The final step in the process was the vote from YOU!

We are thrilled to say that turnout for this vote was incredible! Over 70%
of our membership voted; it is the largest turnout we've ever had for any
membership vote! From community meetings, surveys, and business meetings,
you all clearly showed how much you care about the future of the Exiles.

According to the 2021 Articles of Association, any change to the Articles
requires a 2/3 majority vote. Therefore, any proposed changes that did not
receive a 2/3rd vote (66%) did not pass.

These are the changes that DID pass:

   -

   Name of the Organization (Article 1.1), The Exiles
   -

   Social Justice Statement (Article 1.3), social justice statement, A,
   added
   -

   Member Voting Requirements at Biz Meeting (Article 1.6.2), 2 biz
   meetings in the last 6 months
   -

   Associate Membership (Article 2B), Removed
   -

   Membership Dues Categories (Article 2C), Basic and Economic Equity
   -

   Denying & Revoking Membership (Article 2D, 2E), mandatory removal for
   willful and egregious violation of Articles, consent, safety, and
   consensuality.
   -

   Officer Position and Titles (Article III Section 3.1), Directors, and
   Steward
   -

   Membership Attendance Requirements for Officers (Article III Section
   3.2), One year of membership requirement for Membership Officer and
   Treasurer
   -

   Biz Meeting Attendance Requirements for Officers (Article III Section
   3.3), changed business meeting attendance requirements for officers
   -

   Proxy Voting (Article III Section 3.5), Proxy voting is not allowed
   -

   Removal from Office & Conflict of Interest (Article III Section 3.26 &
   3.27), Steering Committee can remove an Officer with a majority vote. Added
   an conflict-of-interest clause for removals
   -

   Procedure to Amend Articles (Article VIII), Changes vote to a majority
   of the membership
   -

   Reintroducing an Amendment of Articles (Article VIII), Prohibits
   introduction of the same proposed Article amendment more than once per year
   -

   Changing Name of Document from Articles to By-Laws, Split into two
   documents, "Bylaws" and "Policies & Procedures”
   -

   All of the Minor Changes


These are the changes that DID NOT pass. A majority supported changing each
article, but this support fell short of the 2/3 majority needed to adopt
changes.:

   -

   Membership Demographic (Article 2A), include diverse genders and all
   transgender people
   -

   Changes the decision of dissolution from a regularly-scheduled program,
   increases publicity, and requires 3/4 of the Steering Committeeand a
   majority of the voting members, to approve dissolution


One of the changes you voted to accept for the future is to alter the
procedure for amending these bylaws, reducing the 2/3 majority requirement
(66%) to a simple 51% majority. Because the vote for these two proposed
amendments were close, expect those topics to be revisited in the future
under the new rules.

Thank you to everyone who voted and shared your voice with us! Thank you to
the articles committee and biz group for working tirelessly to draft,
review, redraft, discuss, redraft, debate, and yet again redraft our
Bylaws. The updated Bylaws will be available on our website and distributed
via the publication of the Lunatic Fringe as soon as we finish posting all
the changes.

If you are passionate about the path the Exiles take moving forward, we
encourage you to come to our Business Meeting on March 6th, 5pm-7pm PST,
and run for election to join the Steering Committee this March!
